Terms of Service

These Terms govern every pharmacy account, terminal, and API connection running on POSify Rx. Read Section 12–14 closely if you're only skimming — that's where risk is allocated.

These Terms of Service ("Terms") form a binding agreement between POSify Rx, a company registered under the Companies Act, 1994 with its registered office at Uttara, Dhaka, Bangladesh ("POSify Rx," "we," "us," or "our"), and the person or pharmacy business that creates an account for or otherwise uses POSify Rx, including its web application, progressive web app ("PWA"), offline terminal software, and related services (collectively, the "Service") ("you," "your," or "Customer").

By creating an account, installing the Service, or using it in any way, you agree to these Terms, which take effect as a valid electronic contract under the Contract Act, 1872 and are given legal recognition as an electronic record under the Information and Communication Technology Act, 2006. If you are agreeing on behalf of a pharmacy, company, or other organization, you confirm you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

01 Who can use POSify Rx

You must be at least 18 years old and legally competent to enter into a binding contract under the Contract Act, 1872 to create an account.

The Service is built for licensed pharmacies, drug stores, and similar retail health businesses operating in Bangladesh. You represent that you, or the pharmacy you represent, hold a valid drug sale license and any other authorization required by the Directorate General of Drug Administration ("DGDA") under the Drug and Cosmetics Act, 2023, and that retail sale of scheduled drugs through your account is carried out under the personal supervision of a pharmacist registered with the Pharmacy Council of Bangladesh, as required by law.

Accounts are role-based (e.g., Owner, Pharmacist, Cashier, Staff). The Owner account holder is responsible for assigning roles appropriately and remains responsible for all activity that occurs under any account associated with their pharmacy, including actions taken by staff they have granted access to.

02 Your account

You must provide accurate, current information when registering — including your pharmacy's trade license, DGDA drug sale license, and NID or business registration details where requested — and keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not you authorized it. Notify us immediately at info@posifyrx.com if you suspect unauthorized access, a stolen device, or credential compromise.

We may suspend or terminate accounts that provide false licensing or identity information, violate these Terms, or are used in a way that creates regulatory, security, or legal exposure for us, other users, or the public.

03 Description of the service

POSify Rx provides point-of-sale, inventory, staff, compliance, and AI-assisted tools for pharmacies, including but not limited to:

  • Point-of-sale checkout, barcode scanning, and receipt printing (including via the Web Serial API to ESC/POS thermal printers)
  • Batch- and expiry-based inventory management using First-Expiry-First-Out ("FEFO") logic
  • Offline-first operation with local storage (IndexedDB) and background synchronization to our servers once connectivity is available
  • Refund management, customer loyalty tracking, and staff attendance
  • Regulatory record-keeping tools intended to help you organize DGDA-aligned documentation
  • AI-generated insights, demand forecasts, and an AI chatbot for staff support
  • Support ticketing and human customer support escalation
  • Reporting, analytics, and multi-branch dashboards

We may add, change, or remove features at any time. We will make reasonable efforts to notify you of material changes that significantly reduce functionality you rely on.

04 Offline mode & data synchronization

The Service is designed to keep working without an internet connection — a deliberate choice given the inconsistent connectivity many Bangladeshi pharmacies operate under. Transactions, stock movements, and other records are stored locally on the device (via IndexedDB) and synchronized to our central database once a connection is restored.

You are responsible for the physical and digital security of any device running the Service offline, since locally cached data — which may include customer names, phone numbers, and purchase history — resides on that device until it syncs.

We are not responsible for data loss caused by device failure, browser data clearing, uninstalling the app, or similar events that occur before local data has synced to our servers. We recommend syncing regularly and not clearing browser storage on terminal devices.

Offline entries made on multiple devices may occasionally conflict when they sync — for example, the same batch sold from two terminals while both were offline. We apply reasonable, timestamp-based reconciliation logic, but you are responsible for reviewing sync results and correcting any discrepancies in your records, particularly before they are used for DGDA reporting or tax filing.

05 AI features

POSify Rx includes AI-generated insights (such as expiry alerts, demand forecasts, and anomaly flags) and an AI chatbot that answers questions about stock, dosage formats, and internal policies.

AI outputs are generated automatically and may be inaccurate, incomplete, or out of date. They are provided to assist your staff and are not a substitute for the professional judgment of a pharmacist registered with the Pharmacy Council of Bangladesh, nor for legal or regulatory advice. You — and the supervising pharmacist on duty — remain solely responsible for all dispensing decisions, dosage verification, inventory decisions, and regulatory filings made using the Service.

Do not rely on the AI chatbot as the sole source for any clinical, dosage, or safety-critical decision. Always verify against the product label, the supervising pharmacist's judgment, and applicable DGDA guidance.

06 Compliance tools are not legal advice

Drug & Cosmetics Act, 2023 DGDA regulations

Our regulatory record-keeping tools, ledgers, and audit logs are designed to help you organize and export records in formats commonly expected under the Drug and Cosmetics Act, 2023 and DGDA practice. They do not guarantee compliance with DGDA requirements or any other law, and we do not review your specific regulatory obligations or licensing status.

You are solely responsible for ensuring your pharmacy complies with all applicable drug control, tax, labor, and data protection laws in Bangladesh. Consult a qualified professional — a lawyer, a licensed pharmacist, or your DGDA liaison — for compliance advice specific to your business.

07 Fees and payment

VAT & Supplementary Duty Act, 2012

Some parts of the Service are offered free of charge; others require a subscription or per-terminal fee, as described at signup or in an order form.

Fees, where applicable, are listed at https://posifyrx.com or in your order form in Bangladeshi Taka (BDT) and are exclusive of Value Added Tax and any Supplementary Duty payable under the VAT and Supplementary Duty Act, 2012, unless stated otherwise. You authorize us, or our payment processor (which may include mobile financial services such as bKash or Nagad, or card processors), to charge your chosen payment method on the applicable billing cycle.

Except as required by law or expressly stated otherwise, fees are non-refundable. We may change fees on renewal with at least 30 days' advance notice. We may suspend access to paid features if payment is overdue, after reasonable notice to the Owner account.

08 Acceptable use

You agree not to:

  • Use the Service to sell, dispense, or track narcotic, psychotropic, or scheduled drugs outside your license or applicable law, including the Narcotics Control Act, 2018;
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except as permitted by law;
  • Interfere with or disrupt the integrity or performance of the Service, introduce malware, or attempt unauthorized access to other pharmacies' data — conduct that may separately constitute an offence under the Cyber Security Ordinance, 2025;
  • Use the Service to store or process personal data you do not have a lawful basis or consent to process;
  • Misrepresent your identity, license status, or authority to act on behalf of a pharmacy;
  • Use the AI chatbot or insights to generate content that is unlawful, fraudulent, or misleading to regulators, auditors, or customers;
  • Resell, sublicense, or provide the Service to third parties as your own product without our prior written permission.

We may suspend or terminate access for violations of this section, and may report conduct that appears to violate criminal law to the appropriate authorities.

09 Data protection and your content

Personal Data Protection Act, 2026 Cyber Security Ordinance, 2025 ICT Act, 2006

"Customer Data" means the transaction records, inventory data, staff records, customer records, and other content you or your staff input into or generate through the Service. As between you and us, you own your Customer Data.

You grant us a license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service — including generating AI insights for your own account — and as otherwise described in our Privacy Policy. You are responsible for the accuracy, legality, and appropriateness of Customer Data you input, including obtaining any consent needed from customers or staff before recording their personal data, particularly sensitive personal data such as health or medication information.

Bangladesh's data protection framework is in transition: the Personal Data Protection Act, 2026 establishes consent, purpose-limitation, and data-subject-rights obligations for organizations that process personal data in Bangladesh, with its substantive provisions phasing in over the following months under the schedule set by the relevant government notification. We will update our Privacy Policy and these Terms as our obligations under that Act, and under sector rules issued by the Bangladesh Bank or Bangladesh Telecommunication Regulatory Commission where applicable, come into force. Nothing in this Section reduces your own obligations as a data controller of your customers' and staff's personal data.

We may use de-identified or aggregated data — data that does not identify you, your staff, or your customers — for analytics, benchmarking, and improving the Service, including AI features.

10 Intellectual property

The Service, including its software, design, trademarks, and the AI models or prompts we use, is owned by us or our licensors and is protected under the Copyright Act, 2000 and applicable trademark law. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as permitted here. You retain ownership of your Customer Data as described in Section 9.

11 Third-party services and hardware

The Service may interoperate with third-party hardware (such as barcode scanners and ESC/POS thermal printers) and third-party services (such as mobile financial service providers, payment processors, cloud infrastructure providers, or SMS/email delivery providers). We are not responsible for the performance, availability, or security practices of third-party hardware or services, which are governed by their own terms.

12 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED UNDER THE SALE OF GOODS ACT, 1930 OR THE CONSUMER RIGHTS PROTECTION ACT, 2009.

WE DO NOT WARRANT THAT AI-GENERATED INSIGHTS, FORECASTS, OR CHATBOT RESPONSES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE, INCLUDING DISPENSING, DOSAGE, OR REGULATORY DECISIONS.

WE DO NOT WARRANT THAT OFFLINE DATA WILL ALWAYS SYNC SUCCESSFULLY OR THAT NO DATA CONFLICTS OR LOSSES WILL OCCUR.

13 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) [Fallback Cap, e.g., BDT 10,000].

Nothing in these Terms limits liability that cannot be limited under applicable Bangladeshi law, including liability for our gross negligence, willful misconduct, or fraud, or liability that cannot be excluded under the Consumer Rights Protection Act, 2009.

14 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) Customer Data you input; (c) dispensing, sale, or regulatory decisions made by you or your staff, whether or not informed by AI insights or the chatbot; or (d) your violation of any third party's rights, including a customer's or employee's data protection rights.

15 Suspension and termination

You may stop using the Service and close your account at any time by contacting info@posifyrx.com.

We may suspend or terminate your access if you materially breach these Terms, if required by law or by direction of a competent regulatory authority, or if we reasonably believe your use poses a security or legal risk, with notice where practicable.

Upon termination, your right to use the Service ends. We will make reasonable efforts to allow you to export your Customer Data for a period of [30/60/90] days after termination, after which we may delete it in accordance with our Privacy Policy and applicable law, subject to any longer retention period required for DGDA or tax record-keeping purposes.

16 Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms with a new "Last updated" date, and, where required by law, by additional notice such as an in-app notice or email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17 Governing law and disputes

Arbitration Act, 2001 Code of Civil Procedure, 1908

These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-law principles.

The parties will first attempt to resolve any dispute arising out of or relating to these Terms or the Service through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to arbitration under the Arbitration Act, 2001, with the seat of arbitration in [City, e.g., Dhaka], Bangladesh, and proceedings conducted in English or Bangla as the parties agree. Nothing in this Section prevents either party from seeking injunctive relief before a competent court, or from a consumer exercising rights available under the Consumer Rights Protection Act, 2009. Subject to the foregoing, the courts of [City, e.g., Dhaka] have exclusive jurisdiction over matters not subject to arbitration.

18 General

Entire agreement. These Terms, together with our Privacy Policy and any order form, are the entire agreement between you and us regarding the Service, and this electronic agreement is valid and enforceable under the Information and Communication Technology Act, 2006.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including internet or power outages, natural disasters, strikes (hartals), or government action.
